Pharmaceutical company in the western suburbs of Philadelphia is seeking a transactional attorney to provide legal counsel on issues including contracts, other transactional matters and legal compliance. The position will serve a broad spectrum of business units and functional areas, including research & development, information technology, finance, business development, distribution and sourcing.
Responsibilies include:
- Drafting, negotiating and reviewing commercial contracts, including research and development agreements, licensing agreements in support of product development, technology service agreements, distribution agreements, consulting agreements, confidentiality agreements and other business and legal documents.
- Advising management of potential risks in contractual, financial and legal areas and proposing risk mitigation strategies.
- Assuring compliance with international, federal, state and local laws and regulations applicable to the operations and activities of the company.
- Assisting the Associate General Counsel in implementing, improving and reviewing legal processes and procedures.
The candidate must have :
5+ years of practice in transaction/contract law required (preferably split between law firm and in-house)
Experience with licensing and intellectual property
Must be a member in good standing of a state bar, preferably New York, Delaware or Pennsylvania.
